Founding 10 reservation terms

1. Who you are contracting with

These terms are between CommaScale LLC ("CommaScale", "we") and the organization named at checkout ("you"). They govern only the $5,000 Founding 10 reservation. They do not create an obligation for either party to enter the service agreement described below.

2. What the reservation buys

The $5,000 reservation holds one of ten Founding 10 deployment slots in your organization's name and entitles you to participate in the founding design process: scoping your models, data sources, permissions and workflows with our team ahead of service start.

The reservation is not a purchase of hardware, a licence to any software, or a guarantee of any particular service level. Those are established by the service agreement.

3. Refunds

You may cancel and receive a full refund of the entire $5,000, with no deductions and no conditions, by emailing inquiries@commascale.com at any time before service starts on November 1, 2026. We will issue the refund to the original payment method within ten business days of your request.

We will also refund you in full, without you having to ask, if any of the following happens:

• We cannot supply the agreed hardware configuration and you do not accept an alternative we propose in writing.
• We do not begin service within 30 days of November 1, 2026.
• We discontinue the Founding 10 program.

After service starts and the reservation has been credited against the first-year price, refunds are governed by the service agreement rather than by this document.

4. The first-year program

If you choose to proceed, the total first-year price is $60,000. Your $5,000 reservation is credited against it, leaving a $55,000 balance invoiced under the signed service agreement and payable by ACH or wire transfer before service starts. Prices are in US dollars and exclude any applicable taxes.

5. Hardware and ownership

The founding configuration is a Mac Studio with 512GB unified memory, dedicated to your organization alone. We confirm the exact specification in writing before the service agreement becomes binding, and we will not substitute a materially different system without your written approval.

On completion of the full 12-month service term, title to that Mac Studio transfers to you at no additional hardware cost. Shipping arrangements and any applicable sales or use tax on the transfer are addressed in the service agreement. Title does not transfer if the service term is terminated early.

6. Service start

Service starts November 1, 2026. If hardware, facility or deployment dependencies delay that date, we will tell you promptly and in writing. Your remedy for a delay beyond 30 days is the full refund described in section 3.

7. Payment processing

Payments are processed by Stripe. CommaScale does not receive or store your card or bank account details. Your use of Stripe's checkout is additionally subject to Stripe's own terms.

8. Confidentiality

Information each party shares during the founding design process — including your data sources, workflows and internal requirements, and our architecture and pricing — is confidential and will not be disclosed to third parties except as required by law or to advisers bound by equivalent obligations.

9. Transfer

A reservation is held for the organization named at checkout and may not be transferred or resold to another organization without our written consent.

10. Limitation of liability

Until the service agreement is signed, CommaScale's total liability arising from the reservation is limited to refunding the $5,000 you paid. Neither party is liable to the other for indirect or consequential losses arising from the reservation. Nothing here limits liability that cannot be limited by law.

11. Governing law

These terms are governed by the laws of the Commonwealth of Pennsylvania, and the state and federal courts located in Allegheny County, Pennsylvania have exclusive jurisdiction over any dispute arising from them.
